1. Ticket Purchases

CBS and its authorized partners, affiliates, media representatives, and sponsors reserve the right to capture, use, reproduce, distribute, publish, and display any media for promotional, marketing, commercial, editorial, and press purposes across all formats and platforms, including but not limited to:

• Websites and digital platforms

• Social media and content channels

• Advertising and marketing campaigns

• Press, editorial, and media publications

• Broadcast, streaming, and recorded content

• Future event promotions and archival materials

By entering the event space, you grant CBS a worldwide, royalty-free, perpetual, irrevocable license to use your image, likeness, voice, and appearance in any media format, whether now known or later developed, without compensation, notification, or additional approval.

You acknowledge that media may include incidental or crowd-based capture, and you waive any right to inspect or approve the final use of such content.

CBS shall not be liable for the use, distribution, or reproduction of such media by authorized third parties acting in accordance with this policy.

This Sponsor & Vendor Agreement outlines the terms governing participation in CBS as a sponsor, exhibitor, or vendor.

1. Participation & Acceptance

All sponsors and vendors must be approved by CBS prior to participation. Submission of an application or payment does not guarantee acceptance.

CBS reserves the right to decline or remove any sponsor or vendor whose brand, products, or conduct do not align with the values or standards of the event.

2. Sponsorship & Vendor Deliverables

Sponsors and vendors will receive benefits based on their selected package, which may include:

• Brand visibility (digital, print, or on-site placement)

• Booth or display space

• Promotional opportunities

• Access to attendees or networking sessions

Specific deliverables will be outlined in a separate agreement, invoice, or sponsorship package.

3. Payment Terms

All sponsorship and vendor fees must be paid in full by the specified deadline to secure participation.

Payments are non-refundable unless otherwise agreed in writing.

Failure to complete payment may result in cancellation of participation without obligation from CBS.

4. Setup & Operations

Sponsors and vendors are responsible for:

CBS reserves the right to make adjustments to layout, placement, or logistics as required.

5. Brand Representation

All sponsors and vendors must ensure that their branding, messaging, and materials are accurate, professional, and aligned with CBS standards.

CBS reserves the right to request the removal or modification of any materials deemed inappropriate, misleading, or inconsistent with the event’s image.

6. Liability & Insurance

Sponsors and vendors participate at their own risk.

To the fullest extent permitted by law, CBS shall not be held liable for any loss, theft, damage, or injury related to sponsor or vendor property, personnel, or activities.

Participants are encouraged to obtain appropriate insurance coverage where applicable.

7. Indemnity

Sponsors and vendors agree to indemnify, defend, and hold harmless CBS, its affiliates, partners, sponsors, and representatives from and against any and all claims, liabilities, damages, losses, or expenses arising out of or in connection with their participation in the event.

8. Conduct & Compliance

All sponsors and vendors are expected to adhere to the CBS Code of Conduct.

Any behavior that is disruptive, unethical, or harmful to attendees or the event environment may result in immediate removal without refund.

9. Cancellations & Changes

CBS reserves the right to modify event details including date, location, layout, or programming.

In such cases, CBS will make reasonable efforts to communicate updates and provide alternative arrangements where possible.

CBS shall not be held liable for changes due to circumstances beyond its control.

10. Force Majeure

This Agreement shall be governed by and construed in accordance with the laws of Canada and Barbados, without regard to conflict of law principles.

13. Agreement Acceptance

Participation in CBS as a sponsor or vendor constitutes acceptance of this Agreement and all related event policies.
